These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and AirportLedger ("we," "us," "our," or "Company") governing your access to and use of the AirportLedger platform, including our website, software, applications, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Service. By using the Service, you represent and warrant that you meet these requirements.

If you are using the Service on behalf of an organization (such as an airport, FBO, or aviation company), you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion. You may terminate your account at any time by contacting us at [email protected].

4. Service Description

AirportLedger provides a cloud-based airport operations monitoring platform that enables airports, FBOs, and aviation organizations to:

  • Track real-time aircraft operations using ADS-B data
  • Monitor takeoffs, landings, and touch-and-go operations
  • Generate automated reports and analytics
  • Visualize flight patterns and heatmaps
  • Access historical flight data and replay functionality
  • Configure custom alerts and notifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

5. Subscription Plans and Billing

5.1 Subscription Tiers

We offer multiple subscription tiers based on monthly operations volume. Pricing and features for each tier are described on our pricing page. All fees are in U.S. Dollars unless otherwise stated.

5.2 Billing and Payment

  • Subscriptions are billed monthly in advance
  • Payment is due upon subscription activation and on each renewal date
  • You authorize us to charge your payment method on file for all applicable fees
  • All fees are non-refundable except as required by law or as explicitly stated in these Terms
  • We reserve the right to change our pricing with 30 days' notice

5.3 Free Trial and Promotional Offers

We may offer free trials or promotional discounts at our discretion. These offers are subject to specific terms and conditions, which will be communicated at the time of the offer. We reserve the right to modify or cancel promotional offers at any time.

5.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds will be provided for partial months or unused portions of your subscription, except as required by applicable law.

5.5 Failed Payments

If a payment fails, we will attempt to process the payment again. If payment continues to fail, we may suspend or terminate your access to the Service. You remain responsible for any uncollected amounts.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the Service or servers
  • Transmit viruses, malware, or other harmful code
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Resell, redistribute, or sublicense the Service without authorization
  • Remove or alter any proprietary notices or labels
  • Use the Service to harass, abuse, or harm others

7. Data Usage and Privacy

7.1 Your Data

You retain all rights to any data you submit to the Service ("Customer Data"). By using the Service, you grant us a limited license to process, store, and display Customer Data solely for the purpose of providing the Service to you.

7.2 Aviation Data

Our Service processes publicly available ADS-B flight tracking data. This data is provided "as is" and may contain inaccuracies. We do not guarantee the accuracy, completeness, or reliability of aviation data.

7.3 Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Intellectual Property Rights

The Service, including all software, designs, text, graphics, logos, and other content, is owned by AirportLedger and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

"AirportLedger" and our logo are trademarks of AirportLedger. You may not use our trademarks without our prior written consent.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our Service without compensation or attribution to you.

9. Warranties and Disclaimers

9.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free access. The Service may be subject to downtime for maintenance, updates, or technical issues.

9.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected

9.3 Aviation Safety Disclaimer

IMPORTANT: AirportLedger is a monitoring and analytics tool only. It is NOT intended for use in air traffic control, flight operations, or any safety-critical aviation applications. Do not rely on our Service for real-time decision-making related to aircraft operations or safety. Always follow official aviation regulations and procedures.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIRPORTLEDGER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Unauthorized access, use, or alteration of your data
  • Any other matter relating to the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless AirportLedger and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your Customer Data.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AirportLedger regarding the Service and supersede all prior agreements.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
